Terms of Service

These Terms govern the use of WAYV Pay by businesses and organisations and form an agreement between Climate Index Network Ltd. ("WAYV", "WAYV PAY", "we", "us") and the business registering for WAYV Pay ("Business", "you").

The individual registering the Business confirms that they are authorised to enter into this agreement on behalf of the Business.

WAYV Pay is intended for legitimate business use.

The Business must provide complete and accurate company, ownership and representative information and must meet applicable eligibility and compliance requirements.

A person creating or administering a WAYV Pay account represents that they have authority to act on behalf of the Business.

The Business is responsible for actions taken by its authorised users.

WAYV Pay may provide businesses with services including payment accounts, payment links, QR payments, stablecoin payments, transfers, currency conversion and other payment-management functionality.

Availability depends on jurisdiction, eligibility and the financial service providers supporting the relevant service.

Certain bank-account, payment, stablecoin, foreign-exchange, card and related regulated services are provided by third-party regulated financial service providers.

Where Bridge or another regulated provider supplies a service, the Business will be required to accept the applicable provider agreement separately.

These WAYV Pay Terms do not replace those agreements.

Before regulated services are activated, the Business and its owners, directors or authorised representatives may be required to complete Know Your Business ("KYB"), identity verification, sanctions screening and other compliance checks.

WAYV or its service providers may request additional information where required by law or risk-management requirements.

WAYV Pay may allow the Business to generate payment links or QR codes through which customers can make payments.

The Business remains responsible for the goods or services being sold, fulfilment, customer service, taxes, returns, cancellations and refunds unless expressly stated otherwise.

WAYV is not the seller of the Business's goods or services.

Where a purchaser uses a WAYV Pay checkout, the amount, currency and applicable payment information will be displayed before the purchaser confirms payment.

The Business must clearly disclose its applicable terms of sale and refund or cancellation policy to its customers.

Applicable WAYV Pay fees will be shown or agreed with the Business before they become applicable.

For individual transactions, the total amount or applicable fee will be disclosed before confirmation where required.

Where foreign exchange is involved, the final settlement amount may change slightly between quotation and settlement because of exchange-rate movements.

Settlement timing depends on the payment method, blockchain network, currency, banking rail and applicable financial service provider.

Estimated settlement periods are not guarantees unless expressly stated otherwise.

The Business is responsible for determining whether a purchaser is entitled to a refund under its terms and applicable law.

Where WAYV Pay provides a refund function, refunds remain subject to the availability of the relevant payment rail and sufficient funds.

Completed blockchain transactions cannot ordinarily be reversed. A refund may therefore require a separate return transaction.

WAYV Pay may not be used for unlawful activity or businesses prohibited under the WAYV Acceptable Use Policy or the rules of an applicable financial service provider.

The Business must maintain appropriate security over its WAYV Pay account, users and credentials and notify WAYV promptly of suspected unauthorised access or fraudulent transactions.

WAYV or an applicable regulated provider may restrict, delay or suspend services where required for security, fraud prevention, sanctions, compliance, regulatory or legal reasons.

The Business is responsible for determining, collecting, reporting and paying taxes associated with its activities unless the law specifically places that responsibility on WAYV or another provider.

WAYV processes personal and business information in accordance with the WAYV Privacy Policy.

Regulated providers may process information under their own privacy policies and legal obligations.

Financial products supplied by third-party providers are governed by the provider's applicable terms in addition to these WAYV Pay Terms.

WAYV retains all rights in the WAYV Pay platform, software, trademarks and related technology.

The Business receives a limited right to use the service for its internal business activities for the duration of its account.

The Business may request closure of its WAYV Pay account subject to outstanding payments, balances, investigations and compliance requirements.

WAYV may restrict or terminate access where permitted under these Terms or required by law.

Each party remains responsible for its obligations under applicable law.

WAYV is not responsible for goods or services sold by a Business to its customers.

Nothing in these Terms limits liability that cannot legally be excluded.

By selecting:

“I confirm that I am authorised to act for this business and agree on its behalf to the WAYV Pay Terms of Service”

the representative enters into this agreement electronically on behalf of the Business.

WAYV records the acceptance, applicable Terms version and acceptance timestamp.

Climate Index Network Ltd. operates the WAYV Pay platform.
